Terms of Service

By accessing or using UniBites ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Platform.

UniBites provides an online marketplace that connects food vendors with customers for the ordering and delivery of food and beverages. These Terms apply to all users of the Platform, including customers, vendors, and visitors.

By using the Platform, you represent and warrant that:

• You are at least 18 years of age or the age of majority in your jurisdiction
• You have the full power and authority to enter into this agreement
• You will provide accurate, current, and complete information during registration
• Your use of the Platform does not violate any applicable law or regulation

The Platform is not intended for users under 18. If we become aware that a user under 18 has provided us with personal information, we will delete such information.

Registration

To access certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Notify us immediately of any unauthorized use of your account
• Ensure that you log out of your account at the end of each session
• Not share your password or allow others to access your account

Account Suspension

We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, false, or if you violate these Terms.

Order Placement

When you place an order through the Platform, you are making an offer to purchase the selected items from the vendor. We will confirm your order by sending you an order confirmation email. The vendor may accept or reject your order at their discretion.

Pricing

All prices are listed in Kenyan Shillings (KES) and include applicable taxes unless otherwise stated. Prices are subject to change without notice. We strive to ensure accurate pricing, but errors may occur. If we discover an error in the price of an item you have ordered, we will inform you and give you the option to confirm the order at the correct price or cancel it.

Payment Methods

We accept various payment methods including:

• Credit/Debit Cards (Visa, Mastercard, etc.)
• Mobile Money (M-Pesa, etc.)
• Cash on Delivery (where available)
• UniBites Wallet

Payment Processing

By providing payment information, you represent that you are authorized to use the payment method. You authorize us to charge the full amount of your order, including any applicable fees and taxes. All payments are processed securely through third-party payment processors.

Delivery

Delivery times are estimates only and may vary due to factors beyond our control. We are not responsible for delays caused by weather, traffic, or other circumstances. Delivery fees are calculated based on distance and are displayed at checkout.

Pickup

If you choose pickup, you agree to collect your order at the specified time. Orders not picked up within 30 minutes of the scheduled time may be subject to cancellation without refund.

Delivery Address

You are responsible for providing accurate delivery information. If an order cannot be delivered due to incorrect information, you may be charged a redelivery fee. Refunds for undelivered orders are at our discretion.

Order Cancellation

You may cancel an order within 5 minutes of placement without penalty. After 5 minutes, cancellations are subject to vendor approval. If a vendor is unable to fulfill your order, they may cancel it and you will receive a full refund.

Refunds

Refunds are processed to the original payment method and may take 5-10 business days to appear in your account. Refunds for issues with food quality or delivery must be reported within 24 hours of delivery.

Vendor Obligations

Vendors using the Platform agree to:

• Provide accurate information about their business and menu items
• Maintain food safety standards and comply with all applicable health regulations
• Fulfill orders in a timely manner as represented
• Respond to customer inquiries and complaints promptly
• Maintain adequate inventory to fulfill orders

Commission

Vendors agree to pay a commission on each order processed through the Platform as agreed in the Vendor Agreement. Commission rates are subject to change with 30 days notice.

Payouts

Vendor payouts are processed weekly for completed orders. Payouts may be held for orders under dispute. Vendors must maintain valid bank account information for payouts.

You agree not to engage in any of the following prohibited activities:

• Using the Platform for any illegal purpose
• Attempting to interfere with or disrupt the Platform
• Creating fake accounts or impersonating others
• Harassing, abusing, or harming other users
• Scraping or collecting user data without permission
• Using automated systems to place orders
• Manipulating prices or interfering with other vendors' listings
• Posting false or misleading reviews

The Platform and its original content, features, and functionality are owned by UniBites and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any part of the Platform without our express written consent.

Trademarks

"UniBites" and the UniBites logo are trademarks of UniBites. You may not use these marks without our prior written permission.

We may terminate or suspend your account and bar access to the Platform immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Platform will immediately cease. If you wish to terminate your account, you may simply discontinue using the Platform or contact us to request account deletion.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis. UniBites makes no representations or warranties of any kind, express or implied, regarding the operation or availability of the Platform, or the information, content, and materials included therein.

We do not warrant that:

• The Platform will function uninterrupted, secure, or available at any particular time or location
• Any errors or defects will be corrected
• The results of using the Platform will meet your requirements

UniBites is a marketplace platform and does not prepare or handle food. We are not responsible for the quality, safety, or legality of items sold by vendors. Vendors are independent and not employees or agents of UniBites.

To the maximum extent permitted by law, in no event shall UniBites, its affiliates, directors, employees, or agents be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to the use of, or inability to use, the Platform.

Our total liability to you for all claims arising from or relating to these Terms or your use of the Platform shall not exceed the amount you paid to us during the twelve months prior to the event giving rise to liability.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you.

You agree to defend, indemnify, and hold harmless UniBites and its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Platform.

These Terms shall be governed and construed in accordance with the laws of Kenya, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Any dispute arising from or relating to these Terms or your use of the Platform shall be resolved through binding arbitration in Nairobi, Kenya, in accordance with the Arbitration Act of Kenya. The arbitration shall be conducted in English by a single arbitrator appointed in accordance with the said rules.

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Platform after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Platform.
